The SEC's May 2026 proposal to permit optional semiannual reporting via a new Form 10-S instead of mandatory quarterly Form 10-Q filings faces substantial headwinds, underpinning the 79% market-implied probability that the requirement will not be removed. Record opposition exceeding 200,000 comments, predominantly from investors citing risks to transparency, liquidity, and capital allocation, has dominated the post-comment period since July 6. A recent CFA Institute survey of analysts and portfolio managers reinforces this, showing broad preference for retaining structured quarterly disclosures over voluntary alternatives. While SEC leadership has signaled intent to advance a modified version, historical precedent of reverting from semiannual regimes and companies' likely continuation of quarterly earnings releases limit the scope for meaningful change. Upcoming final rulemaking decisions remain the key near-term catalyst.

This market will resolve to "Yes" if the U.S. Securities and Exchange Commission votes to approve a rule or otherwise formally enacts a policy that removes the requirement for publicly traded companies to file quarterly earnings reports by December 31, 2026, 11:59 PM ET. Otherwise, this market will resolve to "No".
Narrow company or industry specific removals of quarterly earnings requirements will not qualify. Likewise a general removal of the rules which maintains the quarterly reporting requirement for specific companies will qualify.
Any approving vote on a rule change that reduces the requirement to report earnings from quarterly to a less frequent cadence will qualify.
The primary resolution source will be official information from the SEC; however, a consensus of credible reporting will also be used.
